08.11.2012 Representation by the PGNiG Management Board

In response to questions arising in relation to possible joint projects with Gazprom and in connection with the Annex to the Yamal Contract of November 5th 2012, the PGNiG Management Board hereby represents that:

- The negotiations with Gazprom, completed on November 5th 2012, concerned exclusively matters relating to gas prices and the rules for determining the prices under the Yamal Contract. Annex No. 40 covers exactly these issues.

- During the discussions on Annex No. 40 to the Yamal Contract, the Company did not conduct any negotiations on execution of joint projects with Gazprom, did not enter into any arrangements nor did it make any commitments in this respect.

The answer of the Vice-President of the PGNiG Management Board to the question on current business relations between the Companies in the light of the concluded arrangement on reduction of the gas prices, given after the press conference held on November 6th 2012, should only be treated as information on normalisation of trade relations.
If maintained long-term, the improved trading relations may, but do not necessarily have to, lead to opportunities for cooperation on projects which were discussed already in 2009-2010.

Therefore, interpreting the comments of the Vice-President of the PGNiG Management Board as information on actual investment commitments represents an abuse.
