29.09.2009 PGNiG Energia - a new business segment is being created
On 28 September 2009 the Supervisory Board of PGNiG SA gave a positive opinion of the Company Management Board's request to the General Meeting of Shareholders concerning the creation of the company PGNiG Energia SA. In accordance with the assumptions accepted in the Company Strategy, electrical energy activities in the PGNiG Capital Group will constitute a new business segment. PGNiG Energia will be involved in projects connected with the construction of energy blocks, investments in co-generative installations powered by natural gas, and pilot biogas projects. It will also conduct commercial activities on the wholesale electricity market, and will ensure that electricity purchases are optimised for the whole Capital Group.
PGNiG SA's activity in the electricity segment results from an approved strategy which assumes that in 2015 it will have at least 300 MW of its own production capacity, which will entail implementing several investment projects of differing volume. In order to efficiently manage this number of investment projects, it is expedient to establish dedicated organisational structures making it possible to effectively carry out design works and the planned investments. PGNiG Energia is being created for precisely that reason.
Analyses of the electricity sector point to the need to extend production capacity in Poland. The development of the Polish economy will lead to an increase in demand for electricity in the next few years. For that reason, the PGNiG Capital Group will, in successive years, be involved in projects to develop sources of electrical energy which use natural gas as a fuel. They will be of importance for developing the gas market and increasing demand for that raw material. It should be emphasised that these projects are playing their part in the implementation of Poland's energy policy, which is connected with increasing the effectiveness of pure electricity production.
The PGNiG Capital Group's current activity in the electricity segment is limited to producing electricity and heat within small production installations at mines, with a total capacity of about 2.3 MW. This amount will significantly increase after the completion of current projects which assume the construction of new production capacities, including as part of the extension of the warehouse in Wierzchowice and the development of the Lubiatów-Międzychód-Grotów deposit. Sources producing electricity with a total capacity of several dozen MW will come into being as a result of these projects.
PGNiG SA is already actively involved in several large energy projects aimed at constructing power plants or heat and power generating plants powered by natural gas. These projects are being realised in cooperation with partners in the electricity industry. The most advanced project is the construction of a steam and gas block in Stalowa Wola (in cooperation with the Tauron Group) and the construction of a co-generation source in Gdańsk (in cooperation with Energa and the Lotos Group). Carrying out such big investments will enable the business to create a solid foundation on which to build an "electricity" segment, the target being to transform the PGNiG Capital Group into a modern integrated multi-energy business undertaking.
The share capital of PGNiG Energia SA with its registered office in Warsaw will be PLN 5 000 000.00 (five million zlotys), divided into 50 000 ordinary shares with a nominal value of PLN 100 per share. PGNiG SA will subscribe for all the shares in the newly established company.
