30.04.2013 Announcement of the PGNiG Supervisory Board

The Supervisory Board of Polskie Górnictwo Naftowe i Gazownictwo SA - having heard at its meeting on April 24th 2013 the Management Board's explanations regarding the circumstances which surrounded the preparation and execution on April 4th 2013 in Saint Petersburg, Russia, of the Memorandum of Understanding between SGT EuRoPol Gaz S.A. and OOO Gazprom Export, and having reviewed the relevant documents - took a negative view of the attitude and actions of the President of the Management Board, Ms Grażyna Piotrowska-Oliwa, and Vice-President of the Management Board, Chief Commercial Officer, Mr Radosław Dudziński.

As a consequence, the Supervisory Board has lost trust in the two Management Board Members named above, which makes further cooperation with them impossible.

Given its view of the existing situation, on April 29th 2013 the Supervisory Board adopted resolutions whereby it removed Ms Grażyna Piotrowska-Oliwa and Mr Radosław Dudziński from the PGNiG Management Board.

At the same time, the Supervisory Board took prompt steps with a view to appointing new members of the Management Board. The qualification procedure will be carried out under the Regulation of the Polish Council of Ministers of March 18th 2003 concerning qualification procedures for members of management boards of certain commercial-law companies (Dz. U. of March 31st 2003, No. 55, item 476, as amended), with the participation of a professional external adviser.

The Supervisory Board further resolved to undertake an audit of the preparatory processes, decision making and flow of information between the Company's governing bodies related to investment projects involving domestic and foreign entities that may have an impact on Poland's energy security or international relations.

Until a new President of the Management Board is appointed, leadership of the Management Board and direction of its work has been entrusted to Mr Mirosław Szkałuba - Vice-President of the Management Board.
